Agent Services Schedule.

Version v2026-A, effective 5 October 2026. These terms apply when Smutylo Law+ acts as a client's agent for service, attorney, Canadian representative or Canadian agent, together with the firm's Terms of Engagement.

This schedule supplements the Terms of Engagement v2026-1 the client accepts on the engagement page. Where the two conflict on an agent appointment, this schedule governs.

1. The appointment

1.1 The firm acts in the role, under the regime and in the jurisdiction named in the engagement email (the Appointment). Koby Smutylo is named personally in the filing, at the firm's office address in that jurisdiction.

1.2 The Appointment starts on the date the filing, form or designation naming the firm is accepted or made (the Start Date).

2. What the firm does

2.1 Receives process, notices and correspondence delivered to it under the Appointment.

2.2 Sends a copy to the client's designated contacts by email promptly, with a note of any date the document appears to set for a response. Paper documents are scanned; originals are held for the client and couriered on request at the client's cost.

2.3 Keeps a log of everything received and when it was forwarded.

3. What the firm does not do

3.1 The Appointment is not advice. The firm does not assess, answer or act on a document received unless the client engages it separately for that work.

3.2 The firm is not responsible for the client's compliance with the regime under which it is appointed, for maintaining the client's registrations, or for meeting any deadline in a document it forwards.

3.3 The Appointment gives no authority to sign for, bind or instruct on behalf of the client, unless a separate written authority says otherwise.

4. Fees and billing

4.1 The annual fee for each Appointment is the amount in the engagement email. It is charged per regime and, where the agent services page says so, per province or jurisdiction.

4.2 The fee is billed quarterly in arrears, one quarter of the annual fee at the end of each three-month period from the Start Date. A part quarter at the end of the Appointment is prorated by day.

4.3 HST applies. Government and regulator fees, courier and similar disbursements are billed at cost on the next invoice.

4.4 Registration filings, amendments, changes of agent and any legal work are quoted separately before the work begins.

4.5 The firm may change the annual fee on 60 days' written notice; the new fee applies from the next quarter after that notice period.

5. The client's obligations

5.1 Name at least two contacts to receive forwarded documents, and keep their email addresses current.

5.2 Tell the firm promptly of any change in the client's name, address, ownership or registration that affects the Appointment.

5.3 Pay each invoice within 30 days.

5.4 Indemnify the firm against third-party claims and costs arising from its acting under the Appointment, except to the extent they result from the firm's own negligence or breach of this schedule.

6. Term and ending

6.1 The Appointment continues from year to year until it ends under this section.

6.2 Client ends it. The client may end the Appointment on 30 days' written notice. Within that 30 days the client appoints a replacement and makes the filing the regime requires to remove the firm. Until that filing is on record, the firm stays on record, keeps forwarding, and the fee continues.

6.3 Firm resigns. The firm may resign on 60 days' written notice, or on 15 days' notice if an invoice is more than 60 days past due or a conflict of interest arises. The firm makes whatever filing the regime allows to remove itself, at the client's cost, and forwards anything received while it remains on record.

6.4 Conflicts. If the firm receives proceedings brought by one of its other clients, it forwards them and will not act for either side in that proceeding; it may resign under 6.3.

7. Regime-specific terms

7.1 Form 31-103F2. The form continues until six years after the client stops relying on the exemption it was filed for. When the Appointment ends, the client files an amended form naming a replacement agent; until it does, 6.2 applies. An amended form is due no later than the 30th day before any change in the agent's name or address.

7.2 CFIA. The Canadian agent is Koby Smutylo personally, as CFIA requires an individual permanent resident of Canada. The designation carries no signing authority unless separately granted.

7.3 PMRA. The firm is the Canadian representative and regulatory mailing address only; the client remains the registrant.
