Agent for service and Canadian agent appointments.

Fixed annual fees for the appointments Canadian law requires of companies based elsewhere: provincial agent and attorney for service, securities agent for service, and the PMRA and CFIA Canadian agent roles.

In short: several Canadian statutes require a company based somewhere else to name a person in Canada, or in a particular province, who receives legal process or regulatory correspondence on its behalf. Smutylo Law+ acts in that role for four regimes, each for a fixed annual fee: extra-provincial agent or attorney for service in Ontario and British Columbia, securities agent for service under Form 31-103F2, Canadian representative for PMRA pest control product registrants, and Canadian agent for CFIA fertilizer and supplement registrants.

What the firm does in each role

The appointment does not make the firm responsible for your compliance with the underlying regime. Where you want advice on what a notice means or how to respond, that is legal work and is quoted separately.

Each of these roles is a point where a lawsuit, an enforcement notice or a regulator's deadline first reaches you. The firm is regulated by the Law Society of Ontario, so the engagement carries professional confidentiality and conflict-of-interest obligations, and anything served can be read by a lawyer the day it arrives.

What is an agent for service?

An agent for service is a person a company names to receive legal documents — statements of claim, notices, regulatory correspondence — on its behalf at an address in the jurisdiction. Delivering a document to the agent counts as delivering it to the company.

Which provinces do you cover?

Ontario and British Columbia. The firm has offices in Ottawa, Victoria and Vancouver.

What does the annual fee include?

Being named in the appointment, maintaining the address, receiving what is served or sent, and forwarding it to you with a note of any deadline. Registration filings, government fees and advice on how to respond are separate and quoted up front.

Is this a legal service?
