If you are a consultant or independent contractor in Canada and a client has sent you a consulting agreement, Smutylo Law+ reviews it for what it does to your intellectual property, your other clients, your fees and your liability, and sends back tracked changes you can propose. Many of these agreements come from US companies on US templates. The fee is fixed and agreed before any work starts.
Most consulting agreements are written by the client, for the client. The clauses that matter most to you are usually not the ones about the project.
If you are on the other side — a Canadian business engaging contractors — the independent contractor checklist covers what your own agreement should say.
Consulting agreement reviews are quoted at a fixed fee after a free 20-minute call and a look at the document. The quote states the scope — review only, or tracked changes — the turnaround and whether a follow-up round is included. You accept it before any work starts. The firm’s engagement terms are published.
Generally yes, unless you assign it. The Copyright Act makes an employer the first owner of copyright in work an employee creates in the course of employment, but that rule does not apply to independent contractors. An assignment of copyright must be in writing and signed, which is why most consulting agreements include one. Check how broad the assignment is, and whether your pre-existing materials are carved out of it.
It may be. Ontario’s Employment Standards Act, 2000 prohibits non-compete agreements with employees, with limited exceptions, but that prohibition does not cover genuine independent contractors. A contractor non-compete is assessed under the common law, which asks whether it is reasonable in duration, geography and scope. Courts have often refused to enforce broad ones, but the outcome is not guaranteed. See are non-competes enforceable in Canada.
Usually it is worth it. A US governing-law clause does not change Canadian tax rules, Canadian copyright rules on moral rights, or the practical question of where you would have to go to enforce the contract. A Canadian review looks at the agreement from where you live and work. If a point turns on US law, the review says so.
The fee is fixed and quoted after a free 20-minute call and a look at the agreement. It depends on the length of the agreement and its attachments, and on whether you want a review only or tracked changes you can send back. You know the fee before any work begins.
Turnaround is confirmed when the fee is quoted. A single consulting agreement is usually returned within a few business days of receiving it, and faster where a signing deadline requires it.
